To the extent you are using and accessing the WhatsApp Business Solution Services through the Company, You (Customer, You or Your) are agreeing to, in addition to the terms provided in the Service Order or the Agreement and any other applicable documents executed between the parties, these terms of service for WhatsApp Business Solution Services (“WhatsApp ToS”) and concluding a legally binding contract with Magiclane App Services Private Limited, or Verloop Labs Inc, or Verloop Labs Limited, or its affiliates, as may be mentioned under the Service Order. Hereinafter each of the entities mentioned above shall individually be referred to as “Company” or “We” or “Us” or “Our” or “Verloop” as the context may require and permit. In the event of any inconsistency or conflict between these WhatsApp ToS, ToS or the applicable Service Order and/or Agreement, these WhatsApp ToS shall supersede with respect to Your use of the WhatsApp Business Solution Services unless otherwise expressly specified. Capitalized terms not specifically defined herein shall have the same meaning as ascribed to them in the ToS, Service Order and/or Agreement.

1.2 Service Levels and Technical Support: The Customer agrees that the Service Levels and service credits specified in the Service Order, Agreement and/or ToS shall not apply to the WhatsApp Business Solution Services, however, the Company shall act as a point of contact for issues arising due to WhatsApp services.
1.3 Usage of Customer Data: In addition to the rights granted to the Company with respect to Customer Data under the ToS, Service Order and/or the Agreement, where use of Customer Data (including the personal information provided by You), shall extend to WhatsApp Business Solution Service, the Customer further grants permission and right to WhatsApp, to access and use the Customer Data for enabling WhatsApp Business Solution Services. The Customer agrees that the WhatsApp Business Solution Services are not rendered by the Company and the Company shall not be responsible for the Customer Data to the extent it is operated and managed by WhatsApp. Further, the Customer agrees where the use of Customer Data is extended to WhatsApp Business Solution Services, the WhatsApp data processing terms available at, – Click Here

The Customer agrees that the Company, in its capacity of WhatsApp BSP shall invoice the Customer and receive payment for the WhatsApp Services as per the commercials and payment terms specified in the Service Order and/or the Agreement.
3. Additional Termination
In addition to the termination rights of the Parties specified in the ToS, Service Order and/or this Agreement the Company may terminate the WhatsApp Business Solution Services immediately by providing the Customer with a prior notice if reasonably practicable, in the event that the (a) WhatsApp Business Solution Services are modified or terminated by WhatsApp, (b) change in terms and conditions of WhatsApp Business Solution Services or change in Company’s agreement with WhatsApp (c) applicable laws prohibit rendering and/or facilitating WhatsApp Business Solution Services or, (d) for reasons beyond the reasonable control of the Company.
